Sustainability Terms for Shopperoll platform

IMPORTANT: These Terms of Service govern your use of the Shopperoll platform, including browsing, purchasing, selling (if available), and related services. If you do not agree, do not use the platform. This document is provided for general use and should be reviewed by legal counsel to ensure compliance with your applicable laws and business model.
These Terms apply to services offered under Shopperoll’s domains and apps (collectively, the “Service”). Your use of the Service is also subject to our Privacy Notice and any additional policies referenced here.

1. DEFINITIONS

  1. “Shopperoll”, “we”, “us” means the platform operator.
  2. “User”, “you” means any visitor or account holder using the Service.
  3. “Seller” means a merchant, brand, or store offering products on the Service.
  4. “Buyer” means a user purchasing products through the Service.
  5. “Content” includes text, images, listings, reviews, and any materials displayed or submitted.

2. ELIGIBILITY AND ACCOUNT

You must be legally able to form a binding contract in your jurisdiction to use the Service. You are responsible for maintaining accurate account information and for all activity under your account.
You agree not to (a) create accounts using false identities, (b) access the Service using unauthorized methods, or (c) interfere with the security or operation of the Service.

3. THE MARKETPLACE ROLE

Shopperoll may operate as a marketplace that connects Buyers and Sellers. Unless expressly stated otherwise, products are listed by Sellers, and Sellers are responsible for product descriptions, pricing, fulfillment, warranties (if any), and compliance with applicable laws.

4. LISTINGS, PRICING, AND AVAILABILITY

Product listings may include images and descriptions provided by Sellers. We do not guarantee that descriptions, images, prices, or availability are error-free. We may correct errors and update information at any time.
Prices may exclude shipping, duties, or taxes unless stated otherwise. Final totals may be displayed at checkout.

5. ORDERS AND CONTRACT FORMATION

When you place an order, you are making an offer to purchase. An order is not accepted until (a) payment is authorized and (b) the order is confirmed or shipped (depending on the workflow). We reserve the right to cancel or refuse orders in cases such as suspected fraud, incorrect pricing, or policy violations.

6. PAYMENTS, FEES, AND WALLET (IF APPLICABLE)

Payment methods may be provided via third-party payment processors. By submitting payment information, you represent that you are authorized to use the method and that the information is accurate.
If the Service offers wallet balances, credits, or refunds to a wallet, you may only use them as permitted by the Service rules. Wallet balances are not cash unless explicitly stated and may be subject to expiration or restrictions where allowed by law.

7. SHIPPING, DELIVERY, AND RISK OF LOSS

Shipping times are estimates and may vary. Title and risk of loss may pass according to the Seller’s policy and applicable law. If you experience delivery issues, contact support via Help.

8. RETURNS, REFUNDS, AND CANCELLATIONS

Return and refund eligibility depends on the Seller’s return policy, product category, and applicable law. Some items may be non-returnable (e.g., final sale, hygiene-sensitive items) if clearly disclosed at purchase.
If a refund is approved, it may be issued to the original payment method or to a wallet/credit, depending on the method used and platform rules. Processing times vary by payment provider.

9. SELLER TERMS (IF YOU SELL ON SHOPPEROLL)

  1. Sellers must provide accurate product information, pricing, and inventory availability and must fulfill orders within the stated handling times.
  2. Sellers are responsible for ensuring products comply with all applicable safety, labeling, consumer protection, and import/export rules.
  3. Sellers must handle customer support, returns, and disputes according to their policies and platform requirements.
  4. Shopperoll may suspend or remove listings or stores for policy violations, poor performance, suspected fraud, or legal risk.

10. USER CONTENT, REVIEWS, AND LICENSE

You may be able to post reviews, comments, or other Content. You retain ownership of your Content, but you grant Shopperoll a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your Content for operating and improving the Service.
You may not post Content that is illegal, misleading, infringing, harassing, hateful, or violates privacy or intellectual property rights.

11. PROHIBITED ACTIVITIES

  1. Attempting to hack, scrape, overload, or reverse engineer the Service.
  2. Using the Service for fraud, money laundering, or deceptive practices.
  3. Listing prohibited or illegal items, or violating export/import restrictions.
  4. Infringing intellectual property or posting unauthorized content.

12. INTELLECTUAL PROPERTY

The Service, including its design, code, and trademarks, is owned by Shopperoll or its licensors and is protected by applicable laws. You may not copy, modify, distribute, or create derivative works except as permitted by law or by written permission.

13. THIRD-PARTY SERVICES

The Service may integrate third-party services (e.g., payment processors, shipping carriers). We are not responsible for third-party services and your use of them may be subject to separate terms and policies.

14. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPPEROLL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPPEROLL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

16. INDEMNIFICATION

You agree to indemnify and hold harmless Shopperoll and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Service, your Content, your violation of these Terms, or your violation of any rights of another party.

17. TERMINATION

We may suspend or terminate your access to the Service at any time for suspected fraud, security concerns, policy violations, or legal compliance. You may stop using the Service at any time.

18. CHANGES TO THESE TERMS

We may update these Terms from time to time. When we do, we will update the effective date and may provide additional notice where required. Continued use of the Service after changes means you accept the updated Terms.
